The General Assembly of “Fitahi” approves the transfer of the reserve balance to retained earnings

Fitaihi Holding Group Company announced the results of the extraordinary general assembly meeting (second meeting) held yesterday, Sunday.
The company said in a statement on its website: "Saudi Arabia trading"The results of the vote on the assembly’s agenda included:
1- Reviewing the Board of Directors’ report for the fiscal year ending on 12/31/2025 and discussing it.
2- Approving the company’s auditor’s report for the fiscal year ending on 12/31/2025 and discussing it.
3- Viewing the consolidated financial statements for the fiscal year ending on 12/31/2025 and discussing them.
4- Approval to discharge the members of the Board of Directors from their liabilities for the fiscal year ending on 12/31/2025.
5- Approval to transfer the balance of the statutory reserve amounting to 68,676,942 riyals as in the financial statements for the year ending on December 31, 2025 to the retained earnings balance.
6- Approval to authorize the Board of Directors to distribute interim dividends to the company’s shareholders on a semi-annual or quarterly basis for Fiscal year 2026 AD.
7- Approval to delegate to the Board of Directors the authority of the Ordinary General Assembly to license mentioned in Paragraph (1) of Article (27) of the Companies Law, for a period of one year from the date of the General Assembly’s approval or until the end of the term of the authorized company’s Board of Directors, whichever is earlier, in accordance with the conditions contained in the executive regulations of the Companies Law for listed joint-stock companies.
8- Approval to appoint Al-Sayyid Al-Ayouti & Partners Company – from among the candidates – to audit the company’s accounts based on the recommendation of the Audit Committee, in order to examine Reviewing and auditing the financial statements for the second, third and annual quarters of the fiscal year 2026 and the first quarter of the fiscal year 2027, for a fee of 280 thousand riyals (excluding value added tax).
